Welcome to PMS 100 LLC ("PMS 100," "Company," "we," "us," or "our"). PMS 100 LLC is a hospitality management company founded in May 2023 and headquartered in Dallas, Texas, operating hotel and motel properties under the HK Suites group.

These Terms and Conditions ("Terms") govern your access to and use of our website hksuites24.com, our online services, our properties, and any related products or services offered by PMS 100 LLC (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you may not access or use our Services.

By using our Website or Services, you acknowledge that you have read, understood, and agreed to these Terms. We reserve the right to update these Terms at any time, and your continued use constitutes acceptance of the revised Terms. Material changes will be communicated by updating the "Last Updated" date.

You must be at least 18 years of age to use our Services or make a reservation. You represent that you have the legal authority to enter into a binding agreement, that all information you provide is accurate, and that your use complies with all applicable U.S. federal, state, and local laws.

• All reservations are subject to availability and confirmation.
• Rates, taxes, and fees are displayed at the time of booking and may change before confirmation.
• Cancellation, modification, and no-show policies vary by property and rate type.
• Guests must provide accurate personal, contact, and payment information.
• A valid government-issued photo ID and matching credit card may be required at check-in.
• PMS 100 LLC reserves the right to refuse service or cancel a reservation in cases of fraud, misrepresentation, or unsafe conduct.

Payments are processed through secure, PCI-DSS compliant systems. Full payment or a deposit may be required at booking. Charges appear under "PMS 100 LLC" or "HK Suites." All prices are in USD and subject to applicable taxes and fees. Refunds, where applicable, are processed within 7–14 business days to the original payment method.

Guests must comply with all property rules, local ordinances, and laws. PMS 100 LLC reserves the right to refuse service or remove guests for conduct that endangers, disturbs, or damages property, staff, or other guests. Guests are financially responsible for any damages. Smoking is prohibited in non-smoking rooms. Pets are permitted only at designated pet-friendly properties.

You agree not to use the Website for any unlawful purpose, attempt unauthorized access, interfere with operations, use automated systems to scrape data, reproduce or resell content without permission, submit false information, or impersonate any person or entity.

All content on the Website — logos, text, graphics, images, software, designs, and trademarks — is the property of PMS 100 LLC or its licensors and is protected by U.S. and international intellectual property laws. The "PMS 100" and "HK Suites" names and logos are trademarks of PMS 100 LLC. You are granted a limited, non-exclusive, non-transferable license for personal, non-commercial use of the Website.

Our Services may integrate with third-party platforms including Online Travel Agencies, payment processors, mapping services, social media, and analytics tools. PMS 100 LLC is not responsible for the content, policies, or practices of any third-party platform.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind. To the fullest extent permitted by law, PMS 100 LLC disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and warranties that the Services will be uninterrupted, error-free, or secure.

To the fullest extent permitted by applicable law, PMS 100 LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. Our total cumulative liability for any claim shall not exceed the total amount paid by you for the specific Service giving rise to the claim during the six (6) months preceding the claim.

You agree to indemnify, defend, and hold harmless PMS 100 LLC, its officers, directors, employees, agents, affiliates, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use or misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall remain in effect.

PMS 100 LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, government actions, labor disputes, or telecommunications failures.

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation by contacting us at mitul.p@hksuites24.com. If the dispute cannot be resolved within 30 days, either party may proceed with formal legal action.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PMS 100 LLC regarding the Services.
